RPM Design Pro Terms & Conditions (Draft)

Effective Date: July 1, 2026

These Terms & Conditions apply to all proposals, estimates, invoices, online purchases, and

services provided by RPM Design Pro on or after the Effective Date.

1. Acceptance of Terms

These Terms govern services provided by Roth Print Management Co., doing business as RPM

Design Pro. By purchasing services, submitting payment, approving a proposal, signing

electronically, or authorizing work, the client agrees to these Terms.

2. Services Provided

Website design and development, hosting, Web Care Plans, ADA accessibility services, SEO,

Google Ads, social media advertising, consulting, graphic design, print management, promotional

products, and related marketing services.

3. Quotes, Estimates & Scope

Quotes, proposals, product descriptions, and invoices define the scope of work. Additional services

require written approval and additional fees.

4. Payments & Billing

Deposits, milestone payments, retainers, or annual service fees are required before work begins.

Payment not received by the specified due date may result in suspension or delay of services.

5. Refund Policy

Payments are non-refundable once work has begun. Refunds before work begins are solely at

RPM Design Pro’s discretion.

6. Chargebacks

Clients agree to contact RPM Design Pro before initiating a chargeback. RPM Design Pro will

provide documentation and will immediately pause all work while the dispute is pending.

7. Client Responsibilities

Clients must provide requested materials and approve proofs. Approved content becomes the

client’s responsibility.

8. Project Delays

Projects inactive for over 30 days may be placed on hold. Projects inactive for 90 days are

abandoned. Payments remain non-refundable. Resumed projects are subject to current pricing.

9. Hosting & Web Care

Late payment results in suspension of services. Third-party hosting issues are the client’s

responsibility.

10. SEO

Best practices are used; rankings and results are not guaranteed.11. Advertising

Advertising results are not guaranteed and platform policies are controlled by third parties.

12. ADA

Services support WCAG accessibility but do not guarantee legal compliance.

13. Third-Party Services

RPM Design Pro is not responsible for issues caused by third-party providers.

14. Intellectual Property

Working files remain RPM Design Pro property until paid in full. Final deliverables transfer upon full

payment.

15. Limitation of Liability

Liability is limited to the amount paid for the specific service.

16. Cancellation

Cancellation does not eliminate payment obligations.

17. Electronic Acceptance

Electronic acceptance has the same legal effect as a handwritten signature.

18. Severability

If one provision is invalid, the remainder remains effective.

19. Entire Agreement

These Terms plus proposals, invoices, and agreements constitute the entire agreement.

20. Governing Law

Governed by the laws of the Commonwealth of Virginia.
